Insider History

API TraderAPI QuantAPI Developer

The full transaction history of one insider, newest first, across every company they are an insider of.

Address the insider by their SEC CIK (exact - as returned by the insider transactions feed) or by name, in which case the most active matching insider is selected. EDGAR names read SURNAME FIRSTNAME (e.g. HUANG JEN HSUN).

Available Data Points:

  • Company / Exchange / Ticker: The issuer of the security.
  • Filed Date / Transaction Date: When the form was filed, and when the trade happened.
  • Form Type: 3 (initial ownership), 4 (changes), 5 (annual), and amendments (/A).
  • Insider Name / Insider CIK: The reporting person and their stable SEC identifier - the same CIK identifies them across every company they file at.
  • Roles: Director, officer (with title) and 10%-owner flags, as declared on the filing.
  • Transaction Code: The SEC code: P (open-market purchase), S (sale), A (award), M (option exercise), F (tax withholding), G (gift), and the rest of the Form 4 vocabulary.
  • Shares / Price Per Share / Value: The transaction line, with value = shares x price.
  • Shares Owned After: Post-transaction beneficial holdings.
  • Direct Or Indirect: D for directly held, I for indirect (trusts, entities).
  • Is 10b5 1 Plan: Whether the filing declares the trade was made under a 10b5-1 plan.
  • Significance: 0-3 conviction score: 3 = discretionary open-market equity trade, 2 = conscious but non-open-market (tenders, conversions, 10b5-1 plan trades, derivative rows), 1 = compensation mechanics (awards, exercises, tax withholding) or entity 10%-owner portfolio flows, 0 = no decision (inheritance). Null on rows imported before scoring.
  • Is Derivative: False for table-I (non-derivative) lines, true for table-II (options etc.).
  • SEC URL: The filing's index page on sec.gov.
  • Ortex Company ID / Ortex Security ID / Ortex Tradable Item ID: The public ORTEX ids of the issuer's company, security and listing, for joining onto every other ORTEX dataset. Null when the issuer could not be resolved to a listing.

Following an insider

Because the SEC CIK is stable per person, rows span issuers: a CEO's sales at one company appear alongside their board activity at another, which makes this the cross-company view of a single decision-maker.

Try it out! You can test the API with the trial key TEST. Simply include it in your request headers; either here, or add the header "Ortex-Api-Key": "TEST" to your http request.

Trial key restrictions: Trial keys may be limited to a specific date range and set of regions. Requests outside the allowed regions or entirely outside the allowed date range are rejected; a date window that partially overlaps the allowed range is trimmed to it, reported in meta.restriction.
