Activist Filings

API TraderAPI QuantAPI Developer

Live SEC Schedule 13D and 13G ownership filings - activist stakes, 5% owners, amendments and exits - read directly from EDGAR by ORTEX, typically within minutes of the filing hitting the SEC.

Each row carries the subject company, the reporting filer with an ORTEX-hosted image URL, the percent of class held and its change versus the filer's prior filing, and a link to the filing on sec.gov.

Available Data Points:

  • Company / Exchange / Ticker: The subject company of the filing.
  • Filed Date / Event Date: When the filing was made, and the transaction date it discloses.
  • Filing Type: 13D, 13G, amendments (/A), and 13G→13D for a passive holder turning activist.
  • Filer Name / Filer CIK: The reporting person and their stable SEC identifier.
  • Filer Image URL: The filer's portrait or logo, hosted on the ORTEX CDN (empty when none is available).
  • Percent Of Class: The stake disclosed in the filing.
  • Percent Change: The change versus the same filer's prior filing on the same company.
  • Shares Owned: Aggregate shares beneficially owned.
  • SEC URL: The filing's index page on sec.gov.
  • Ortex Company ID / Ortex Security ID / Ortex Tradable Item ID: The public ORTEX ids of the subject company's company, security and listing, for joining onto every other ORTEX dataset. Null when the subject company could not be resolved to a listing.
  • Filer Kind: 'Active', or 'Passive giant' for index-fund mega-managers.

Filtering

from_date/to_date bound the filed date (both optional; the window may span at most one year and defaults to the year to today). filingType, filerName and filerKind narrow the feed (one company's filings are /api/v11/stock/{namespace}/{identifier}/activist/filings/); filerKind=Active removes the passive mega-manager noise so only genuinely activist filings remain.

13G>13D conversions

When a filer who previously held a stock passively (13G) files a 13D on it, the filing type reads 13G→13D - the moment a passive holder turns activist, which is the highest-signal event in this dataset. Filter for them with filing_type=13G>13D (13G→13D is accepted too).

Try it out! You can test the API with the trial key TEST. Simply include it in your request headers; either here, or add the header "Ortex-Api-Key": "TEST" to your http request.

Trial key restrictions: Trial keys may be limited to a specific date range and set of regions. Requests outside the allowed regions or entirely outside the allowed date range are rejected; a date window that partially overlaps the allowed range is trimmed to it, reported in meta.restriction.

Query Params
date

Inclusive earliest filed date. Format: YYYY-MM-DD. Defaults to one year before to_date.

date

Inclusive latest filed date (defaults to today). Format: YYYY-MM-DD. The window may span at most one year.

string

Schedule type. Amendments carry the /A suffix. A 13G-to-13D conversion is 13G>13D; rows show it as 13G→13D, and either spelling is accepted. Case-insensitive, and a leading "Schedule " is accepted (Schedule 13D matches 13D).

string

Filer name (case-insensitive substring match).

string

'Active' excludes the passive index-fund mega-managers; 'Passive giant' returns only them.

integer

Page number within the paginated result set. Must be >= 1. Defaults to 1.

integer

Number of rows per page. The default and the maximum allowed depend on the API tier; a value above the tier maximum is rejected with 400 invalidPageSize.
